Valuations

The valuation of private companies is subjective and valuing a minority stake in such a company is even more so.

There are many reasons for needing a valuation of a business, including:

  • vendors considering selling their business
  • potential acquirers looking at  purchasing a business
  • changes in shareholders or shareholdings
  • divorce cases
  • for tax purposes (Capital Gains, Inheritance, share options, etc)
  • for accounting purposes (group reorganisation at fair value)

We use current best practice business valuation methods and this is supplemented by our knowledge of the market and our experience of transactions in the small to mid-market space.  We apply different methodologies to businesses including asset valuations, multiples of earnings and discounted cash flows to come up with a full range of valuations before deciding on the most appropriate method for your business.

We can value individual companies, sole trader businesses or sub-divisions of a company such as a group of assets or a separate income stream.

We can also review valuations prepared by other parties.   For example, to support your negotiations to buy a business you may want us to evaluate a valuation prepared by the vendor.

We can either highlight the key sensitivities and judgements on which their valuation is based or we can carry out a detailed review of their model and comment on the approach taken and the inputs and assumptions contained therein.
