Financial Due Diligence

Due diligence is undertaken to reassure acquirers or investors of a businesses value and to highlight key factors which affect the investment decision.

Our report presents an honest appraisal of the strengths and weaknesses of the business and highlights the key risks faced by the business and how these are managed.  We look at both the historical performance of the business and the projections for the future.  We look for and highlight potential synergies as well as integration issues.

We will look at the financial position of the target company; their assets and their liabilities both on and off balance sheet.  We will review their financial performance, identify the key drivers of their performance and assess their profitability.

We identify and comment on the estimates and judgements made when preparing financial projections for the future performance of the business.  We consider the businesses capital expenditure requirements and the impact of any owner’s remuneration package on reported performance.

Our approach is to meet with potential acquirers to understand what research has been done and what are the key areas of concern.  We can then tailor our approach to fit with your requirements, so that, for every deal, we do the right work in the right areas.

We will keep you informed of progress every step of the way and call you immediately if we identify a potential “deal- breaker”.  We will also liaise with your lawyers to ensure that our approach is as joined up as possible.
